These Terms of Service ("Terms") govern your access to and use of the Titan Forge Biosciences website and the purchase of any products or services from us ("Products"). By accessing the site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the site or purchase from us.
1. Eligibility and Research-Use Acknowledgement
You represent and warrant that you are at least 21 years old, are a qualified researcher or are purchasing on behalf of a qualified research institution or independent laboratory, and that you have the legal authority to enter into this agreement. You acknowledge that all Products are sold strictly For Laboratory Research Use Only. Products are not drugs, food, cosmetics, dietary supplements, household chemicals, or medical devices, and are not approved by the FDA, EMA, or any other regulatory body for clinical use.
2. Prohibited Uses
You agree that you will not, and will not permit any third party to:
- Administer Products to humans or animals, including by ingestion, injection, inhalation, topical application, or any other route.
- Use Products in any diagnostic, therapeutic, prophylactic, cosmetic, food, dietary-supplement, or veterinary application.
- Resell, repackage, or redistribute Products to consumers or to parties who do not meet the same research-use qualifications.
- Use Products in violation of any federal, state, local, or international law, regulation, or controlled-substance schedule applicable in your jurisdiction.
Violation of this section terminates your right to use the site immediately and may be reported to the appropriate authorities.
3. Orders, Pricing, and Payment
All prices are displayed in U.S. dollars and may change without notice. We reserve the right to refuse, limit, or cancel any order at our sole discretion, including for suspected misuse, suspected fraud, errors in pricing or availability, or insufficient research-use verification. Payment is due at checkout via the payment methods supported on the site. You authorize us and our payment processor to charge your selected payment method for the full order total, including tax and shipping.
4. Shipping and Risk of Loss
Shipping terms are described in our Shipping Policy. Risk of loss and title pass to you upon our delivery of Products to the carrier.
5. Returns, Refunds, and Cancellations
Returns, refunds, and cancellations are governed by our Refund Policy. Because Products are temperature-sensitive reference materials, opened, reconstituted, or temperature-compromised items cannot be returned.
6. Assumption of Risk and Indemnification
You assume full responsibility for the safe receipt, storage, handling, transport, use, and disposal of all Products in compliance with all applicable laws, regulations, and accepted laboratory-safety practices. You agree to indemnify, defend, and hold harmless Titan Forge Biosciences, its officers, employees, affiliates, and suppliers from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your purchase, possession, or use of any Product, or your breach of these Terms.
7. Disclaimer of Warranties
Except for any limited certificate-of-analysis warranty expressly provided with a Product, all Products and the site are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant any specific research outcome.
8. Limitation of Liability
To the maximum extent permitted by law, Titan Forge Biosciences and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to these Terms or any Product, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or related to a Product or these Terms will not exceed the amount you paid for the specific Product giving rise to the claim.
9. Intellectual Property
All site content, branding, the Titan Forge name and logo, product photography, documentation, written descriptions, and analytical records are the property of Titan Forge Biosciences or its licensors and are protected by copyright, trademark, and other intellectual-property laws. You may not copy, reproduce, modify, or redistribute any of this material without our prior written permission.
10. Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts for any breach of these Terms.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or any Product will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. You waive any right to participate in a class action or class-wide arbitration to the maximum extent permitted by law.
12. Changes to These Terms
We may revise these Terms at any time. The most current version will always be posted on this page with an updated effective date. Material changes will be communicated by reasonable means. Continued use of the site after changes take effect constitutes acceptance of the revised Terms.
